Welcome to DocPlace, provided by DocPlace Corporation ("we," "us," or "our"). These Terms of Service ("Terms") govern your access and use of our website, applications, and all our services. By using DocPlace, you agree to be bound by these Terms and our Privacy Policy.

1. Eligibility

To use DocPlace, you must be at least 18 years of age or have reached the age of majority in your jurisdiction and have the legal authority to enter into these Terms.

2. Account Registration and Security

You may need to create an account to access certain features of our services. You are responsible for maintaining the confidentiality of your account and password and for all activities that occur under your account.

You agree to provide accurate and complete information during registration and to update such information to keep it accurate, complete, and current.

3. Use of Services

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to use our services for your business or personal use in accordance with these Terms.

You retain all rights, title, and interest in and to the data you upload, store, or process through our services ("Customer Data").

By uploading Customer Data, you grant us a license to use, store, backup, copy, transmit, distribute, modify, and process Customer Data solely as necessary to provide our services to you in accordance with these Terms and our Privacy Policy.

5. AI Features

Our services may include artificial intelligence and machine learning features. These features are provided "as is" and their accuracy and performance may vary.

You acknowledge that AI-generated results may contain errors and should be reviewed and verified before use.

We reserve the right to improve our AI models using aggregated and anonymized data, but we will not use your specific Customer Data to train models that benefit other customers without your explicit consent.

6. Service Availability

We strive to provide reliable services, but we cannot guarantee that our services will be available 100% of the time or will be error-free.

We may suspend or discontinue any part of our services at any time, with or without notice, for maintenance, security, legal, or other reasons.

7. Subscription Plans and Payment

Certain features of our services may require payment of subscription fees.

Subscription fees are charged in advance on a recurring basis (monthly or annually, depending on the plan you select).

You may cancel your subscription at any time, but cancellations will take effect at the end of your current billing period.

All fees are non-refundable except as required by law or as otherwise specified in our refund policy.

8. Intellectual Property

The DocPlace service, including its software, technology, and content (excluding Customer Data), is owned by us and our licensors and is protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our services or included software, nor may you reverse engineer or attempt to extract the source code unless laws prohibit those restrictions or you have our written permission.

9. Workflows, Templates, and Integrations

Our services may include pre-built workflows, templates, and integrations with third-party services.

Your use of third-party integrations is subject to the terms and policies of those third-party providers.

10. Data Security

We implement reasonable security measures to protect your Customer Data, but no method of transmission over the internet or electronic storage is 100% secure.

You are responsible for implementing appropriate security measures for your own systems and maintaining backup copies of your important data.

11. Termination

You may terminate your account at any time by following the instructions in your account settings.

We may terminate or suspend your account immediately, without prior notice or liability, if you breach these Terms or for other legitimate business reasons.

Upon termination, your right to use the service will stop immediately, but you may retain access to your data for a limited period to allow for data export.

12. Data Export

You may export your Customer Data at any time during your subscription period and for a reasonable period after termination.

We may provide tools to help you export your data, but the availability and format of such tools may be limited.

13. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.

WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

15. Indemnification

You agree to indemnify, defend, and hold harmless DocPlace Corporation and our officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your use of our services or violation of these Terms.

16. Modifications

We reserve the right to modify these Terms at any time by posting the revised Terms on our website.

Your continued use of our services after such changes constitutes your acceptance of the new Terms.

17. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of New York, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
